These Terms and Conditions outline the rules and regulations for the use of Mingley's platform and services. By accessing this website and using our services, you accept these terms and conditions in full.

1. Acceptance of Terms

By accessing and using Mingley's platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you must not use our services. These terms constitute a legally binding agreement between you and Mingley.

2. Eligibility

You must be at least 18 years of age to use our platform. By using Mingley, you represent and warrant that you are of legal age and have the legal capacity to enter into these Terms and Conditions. We reserve the right to request proof of age at any time.

3. Account Registration

To access certain features, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate and current. You must immediately notify us of any unauthorized use of your account.

4. Service Description

Mingley provides a platform connecting clients with professional companions for social events, activities, and platonic companionship. Our service is strictly for legitimate social companionship purposes. Any use of our platform for illegal activities, including but not limited to solicitation of sexual services, is strictly prohibited and will result in immediate account termination and possible legal action.

5. Code of Conduct

All users must conduct themselves professionally and respectfully. Harassment, discrimination, threatening behavior, or any form of misconduct is strictly prohibited. Users must comply with all applicable laws and regulations. We reserve the right to suspend or terminate accounts that violate our code of conduct without notice or refund.

6. Booking and Payment

All bookings must be made through our platform. Payment is required at the time of booking unless otherwise specified. Prices are subject to change without notice. We use secure third-party payment processors to handle all transactions. You agree to pay all fees and charges incurred on your account. All payments are in South African Rand (ZAR) unless otherwise stated.

7. Cancellation and Refunds

Cancellations must be made according to our Cancellation Policy. Refunds are provided based on the timing of cancellation as outlined in our Refund Policy. Companions may also cancel bookings in accordance with our policies. Late cancellations or no-shows may result in forfeiture of payment. 8. Companion Verification

All companions undergo verification processes including identity verification, background checks, and reference checks where applicable. However, Mingley does not guarantee the accuracy of information provided by companions and is not responsible for any misrepresentation. Clients are encouraged to review companion profiles carefully and report any concerns immediately.

9. User Content

Users may submit content including reviews, photos, and messages. By submitting content, you grant Mingley a non-exclusive, worldwide, royalty-free license to use, reproduce, and display such content. You represent that you own or have necessary rights to all content you submit. We reserve the right to remove any content that violates these terms or our community guidelines.

10. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and disclosure of personal information is governed by our Privacy Policy. By using Mingley, you consent to our data practices as described in the Privacy Policy. We implement industry-standard security measures to protect your personal information, but cannot guarantee absolute security.

11. Intellectual Property

All content on the Mingley platform, including text, graphics, logos, images, and software, is the property of Mingley or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not copy, reproduce, distribute, or create derivative works without our express written permission.

12. Disclaimer of Warranties

Mingley provides the platform on an 'as is' and 'as available' basis. We make no warranties, expressed or implied, regarding the platform's reliability, availability, or fitness for a particular purpose. We do not guarantee that the service will be uninterrupted, secure, or error-free. Use of the platform is at your own risk.

13. Limitation of Liability

To the maximum extent permitted by law, Mingley shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform. Our total liability shall not exceed the amount paid by you to Mingley in the twelve months preceding the claim. Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

14. Indemnification

You agree to indemnify, defend, and hold harmless Mingley, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the platform, violation of these terms, or infringement of any third-party rights.

15. Third-Party Links

Our platform may contain links to third-party websites or services. Mingley is not responsible for the content, privacy policies, or practices of third-party sites. We recommend reviewing the terms and privacy policies of any third-party sites you visit. Links do not imply endorsement of third-party sites.

16. Dispute Resolution

Any disputes arising from these terms or use of the platform shall first be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in Cape Town, South Africa, in accordance with the Arbitration Act. You waive any right to participate in class action lawsuits or class-wide arbitration.

17. Governing Law

These Terms and Conditions are governed by the laws of the Republic of South Africa. Any legal action or proceeding related to your use of Mingley shall be brought exclusively in the courts of Cape Town, South Africa. You consent to the personal jurisdiction of such courts.

18. Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including violation of these terms. Upon termination, your right to use the platform ceases immediately. Provisions that by their nature should survive termination shall remain in effect, including ownership, warranty disclaimers, and limitations of liability.

19. Changes to Terms

Mingley reserves the right to modify these Terms and Conditions at any time. We will notify users of material changes via email or platform notification. Continued use of the platform after changes constitutes acceptance of the modified terms. It is your responsibility to review these terms periodically.
